Idea Submissions Terms
Following terms govern the relationship between you, the person submitting an Idea, and Estreet Services Pvt Ltd. (hereafter 'Estreet'), in relation to your Idea that you submit through www.estreet.in (hereafter 'website').

Definition
Estreet: includes, Estreet Services Pvt. Ltd, its associate companies, and its partners companies.
Idea: includes any idea submitted in forms of, (a) a written document submitted in any format, (b) any messages submitted through the website, (c) any oral or written communications exchanged with the Estreet, or (d) any concepts discussed with Estreet.
Confidential Information: means and includes all information which relates to the intellectual property rights, customer details, ideas, business, affairs, products, developments, trade secrets, know-how, personnel, customers and suppliers of each party and which may be reasonably regarded as the confidential information of the disclosing party.

Scope of Relationship
You must submit only those ideas which are unique, whether in part or whole, and which are solely owned by you. After you submit your idea, the scope of discussions, development of the idea, usage and ownership rights in any resulting product or service, the consideration involved, and obligation of the parties will be subject to the terms of a written agreement, which may be duly signed between the parties.

If only a part of the submitted idea is unique, the obligations of Estreet will be in relation to such unique part only and not in respect of the non-unique part. Estreet in its sole discretion will select and decide on the submitted Ideas that it will develop. If Estreet discovers at a later stage about the general nature of the submitted idea or about its availability in the public domain, the person submitting the idea shall indemnify Estreet against any third party claims arising out of or in relation to the submitted idea and for the breach of their obligations under these terms. Moreover, the person submitting the idea shall also compensate Estreet all the expenses borne by Estreet in relation to the development of the Idea.

Any idea or documents relating to the idea submitted by you will not be returned by Estreet. You are therefore advised to keep a copy of the submissions for you records.

Estreet may have in its records many ideas, which have either been independently developed by Estreet or have been submitted to it by others, some of which may be similar to your idea. You, therefore, hereby waive off all your claims against Estreet and other owners of a similar idea, that Estreet has misappropriated you idea or a portion of your idea.

Confidentiality
You agree to following confidentiality obligations, in relation to your idea submitted to Estreet.

1. By submitting and disclosing an Idea to Estreet, you agree to keep confidential the “confidential information” of the Estreet and your relationship with Estreet.
2. You agree not to disclose to any third party (a) any information relating to the submitted Idea, (b) any aspect of discussions with Estreet, (c) communications exchanged with Estreet, or (d) developments made in relation to the Idea after its submission to Estreet.

Estreet will keep confidential an Idea submitted by you, and will disclose it only to such of its employees, affiliates, and business partners, who need to know it for the purpose of development of the Idea or for any associated activities in relation to such development.

Indemnity
You agree to indemnify and keep indemnified Estreet, its directors, employees, agents, business partners, affiliates, from all third party claims, arising out of or in relation to breach of any of these terms.

Warranty By submitting an idea to Estreet you represent and warrant that either you are the owner of or you have the written authority from the owner of the submitted Idea, in respect of any proprietary rights or intellectual property rights in the submitted Idea. You further represent and warrant that you are not in breach of any confidentiality obligations that you may have with any third party and the submitted Idea is not available in Public domain.

Intellectual Property Rights Nothing in these terms of this agreement grants to you any rights or licenses in the proprietary rights or intellectual property rights, including trademarks, copyrights, patents, etc. of Estreet.

Assignment
Estreet will be entitled to assign/ transfer its rights, liabilities, benefits and obligations under this Agreement, to its associates, partners, group companies, subsidiaries, holding companies and/or any other third party/person/entity etc. as it may require. You may not assign or transfer your rights, liabilities, benefits and obligations under this Agreement, without prior written permission from Estreet.

Governing Law and Jurisdiction This agreement shall be governed by, construed and enforced in accordance with the laws of India and parties hereby submit to the sole and exclusive jurisdiction of District Courts of New Delhi in relation to any disputes arising out of or in relation to this agreement.
